IAG selected as administrator and company secretary to Nomad Holdings Limited, a new investment company listed on the Main Market of the London Stock Exchange
IAG has been appointed as administrator and company secretary to Nomad Holdings Limited which has raised US$500 million in its successful IPO by way of a placing of Ordinary Shares. It is expected that admission to a Standard Listing on the Official List of the FCA will become effective and unconditional dealings in the Ordinary Shares and the Warrants on the London Stock Exchange’s main market for listed securities will commence at 8.00 a.m. on 15 April 2014.
Nomad, a British Virgin Islands company was founded by entities affiliated with Noam Gottesman and Martin E. Franklin. This Offering will enable the Company to pursue its objective of acquiring a target company or business (the “Acquisition”). There is no specific expected target value for the Acquisition and the Company expects that any funds not used for the Acquisition will be used for future acquisitions, internal or external growth and expansion, purchase of outstanding debt, and working capital in relation to the acquired company or business. The Company’s efforts in identifying a prospective target business will not be limited to a particular industry or geographic region although the Company expects to focus on acquiring a company or business with a nexus (such as ownership, formation, management, operations, sales or research and development activities) to Israel or the Middle East.
